Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Wiring Studio web application and website (collectively, the "Service") operated by WHY NOT SIA, a company registered in the Republic of Latvia, registration number 40103918314 ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you are at least 16 years of age and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not use the Service.

2. Description of Service

Wiring Studio is a cloud-based (SaaS) web application for designing professional wiring harnesses. The Service allows users to create, edit, manage, and export wiring harness designs. The Service is available in multiple plans, including a free tier and paid subscription plans (Lite, Pro, and Team). Features and usage limits vary by plan and may be updated from time to time.

3. Accounts

To use the Service, you must create an account using a valid email address. Authentication is handled via email-based one-time passcodes provided by our authentication partner, Clerk. You are responsible for maintaining the security of your account and for all activities that occur under your account. You must notify us immediately if you become aware of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms, are used for fraudulent purposes, or remain inactive for an extended period, with reasonable prior notice where practicable.

4. Subscriptions and Payments

4.1 Plans and Billing

The Service offers a free plan with limited features and paid subscription plans (Lite, Pro, and Team). Paid plans are billed on a recurring basis (monthly or annually) depending on your selection. All payments are processed securely by Stripe. By subscribing to a paid plan, you authorize us to charge the applicable fees through Stripe.

4.2 Price Changes

We reserve the right to modify pricing at any time. If we change the price of a plan, we will provide at least 30 days' notice before the new price takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4.3 Cancellation

You may cancel your paid subscription at any time. Upon cancellation, your subscription will remain active until the end of the current billing period. After expiration, your account will revert to the free plan and you will lose access to paid features. No refunds are provided for partial billing periods.

4.4 Refunds

Payments are non-refundable except where required by applicable law. If you believe you have been charged in error, please contact us at info@whynot.agency within 14 days of the charge.

4.5 EU Right of Withdrawal

If you are a consumer in the European Union, you have the right to withdraw from a purchase within 14 days of the transaction without giving any reason, in accordance with the Consumer Rights Directive (2011/83/EU). However, by accessing and using the Service immediately upon subscribing, you acknowledge and agree that the digital content is provided to you right away. You expressly consent to the immediate performance of the Service and acknowledge that you thereby lose your right of withdrawal. If you do not consent to immediate performance, please contact us at info@whynot.agency within 14 days of your purchase to exercise your right of withdrawal.

5. User Content and Intellectual Property

5.1 Your Content

You retain all ownership rights to the wiring harness designs, projects, and other content you create using the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive, worldwide license to host, store, and display your User Content solely for the purpose of providing and operating the Service. This license terminates when you delete your User Content or your account.

For Team plan users, User Content created within an organization belongs to that organization, subject to any agreements between the organization and its members.

5.2 Our Intellectual Property

The Service, including its design, code, features, documentation, and branding (collectively, "Service Materials"), is owned by WHY NOT SIA and is protected by intellectual property laws. You may not copy, modify, distribute, reverse engineer, decompile, or create derivative works based on the Service Materials without our prior written consent.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights;
  • Upload or transmit viruses, malware, or other harmful code;
  • Attempt to gain unauthorized access to the Service, other users' accounts, or our systems and infrastructure;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Use automated means (bots, scrapers, etc.) to access the Service without our prior written consent;
  • Resell, sublicense, or redistribute access to the Service without authorization; or
  • Misrepresent your identity or affiliation with any person or organization.

We reserve the right to suspend or terminate your access to the Service if we reasonably believe you are in violation of this section.

7. Service Availability

We strive to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from Service downtime or interruptions.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. If we discontinue the Service entirely, we will provide reasonable notice and make commercially reasonable efforts to allow you to export your User Content.

8. Third-Party Services

The Service relies on third-party providers including Clerk (authentication), Stripe (payments), and Convex (data storage). Your use of the Service is also subject to the terms and policies of these providers. We are not responsible for the availability, accuracy, or conduct of any third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

Wiring harness designs created using the Service are the responsibility of the user. We make no representations regarding the accuracy, safety, or fitness for use of any designs created with the Service. You are solely responsible for verifying that your designs meet applicable standards, regulations, and safety requirements.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WHY NOT SIA, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR EUR 100, WHICHEVER IS GREATER.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or willful misconduct.

11. Indemnification

You agree to indemnify, defend, and hold harmless WHY NOT SIA and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion, with reasonable prior notice where practicable. You may terminate your account at any time by contacting us at info@whynot.agency.

Upon termination, your right to use the Service ceases immediately. We may delete your User Content within 30 days of account termination. Sections of these Terms that by their nature should survive termination will survive, including but not limited to Sections 5.2, 9, 10, 11, 14, and 15.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 30 days before the changes take effect. The "Last updated" date at the top of this page will be revised accordingly. Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Latvia, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Latvia.

If you are a consumer located in the European Union, you may also be entitled to use the European Commission's Online Dispute Resolution (ODR) platform, available at https://ec.europa.eu/consumers/odr.

15. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and WHY NOT SIA regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights under these Terms without restriction.
  • Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including but not limited to natural disasters, acts of government, internet outages, or third-party service failures.
